Business Law remains an important part of legislation in Vietnam since the time of renovation. In the last decade a number of important laws have been passed by the National Assembly, such as the Law on Foreign Investment 1987, which has been amended for several times, the Civil Code 1995, the Commercial Law 1997 and the Law on Enterprise 1999. According to the legislation plan, a Civil Procedural Code and a Law on Commercial Arbitration will be drafted and approved in the next few years. However, this immense evolution of law seems to have little impact on the legal theory dominating in Vietnam. Adapting the concept of economic law from the former Soviet Union, distinc-tions are still made between the civil law and the economic law. This separation may cause difficulties to understand the Vietnamese law and raise issues which contradict the logic and transparency of the law.
